1. Introduction

This Privacy Policy (the "Policy") describes how Founders Night Out ("FNO," "we," "our," or "us"), a curated dinner series operated by JBX Holdings LLC, a Wyoming limited liability company with its principal address at 30 N Gould St, Ste R, Sheridan, WY 82801, collects, uses, stores, shares, and protects your personal information (collectively, "Personal Data").

This Policy applies to all Personal Data collected through the Founders Night Out mobile application available on the Apple App Store and Google Play Store (the "App"), our website at foundersnightout.com (the "Site"), event registration and application forms, email, SMS, and push-notification communications, social media channels, and any other platforms or services operated by or on behalf of Founders Night Out (collectively, the "Services").

By downloading the App, submitting an application, registering for an event, subscribing to a membership, or otherwise providing Personal Data to us, you acknowledge that you have read, understood, and agree to the terms of this Policy. If you do not agree, please discontinue use of our Services.

Founders Night Out currently operates events in the United States and plans to expand internationally. We are committed to protecting your privacy and handling your Personal Data in compliance with applicable laws, including the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA), other applicable U.S. state privacy laws (including the Virginia Consumer Data Protection Act, Colorado Privacy Act, Connecticut Data Privacy Act, and Texas Data Privacy and Security Act), and the European General Data Protection Regulation (GDPR) where applicable to individuals in the European Economic Area (EEA), United Kingdom, or Switzerland. As we expand into new jurisdictions, we will update this Policy to reflect additional local requirements.

2. Personal Data We Collect

Depending on your interactions with our Services, we may collect the following categories of Personal Data:

2.1 Information You Provide During Application and Registration

Access to Founders Night Out is by application only. When you apply through the App, and throughout your membership, we may collect:

  • Identity and Contact Information: Full name, email address, phone number, date of birth (or birth year), city and country of residence, and profile photograph.

  • Professional and Business Information: Professional title, company name, industry, company stage, revenue range, years in business, number of employees, areas of expertise, and a description of your business or professional goals.

  • Application Responses: Answers to application questions, including your reasons for joining, what you hope to contribute, and any referral or endorsement information.

  • Personality and Compatibility Data: Responses to personality assessments or questionnaires used for event group matching, seating optimization, and curating the dinner experience.

  • Event Preferences: Dietary restrictions, accessibility needs, preferred event cities and locations, and any other preferences you provide when selecting or attending an event.

2.2 Age Verification

Founders Night Out is intended for individuals aged 18 and older. We collect your date of birth (or birth year) during the application process to verify that you meet our minimum age requirement. If the information you provide indicates that you are under 18, your application will not be processed and any data you have submitted will be promptly deleted.

2.3 Member Profile and Social Features

When you use the App's social and networking features, we collect:

  • Profile Information: Any information you choose to add to your member profile, including a bio, professional details, social media links, and contact information you elect to display.

  • Connection Data: Records of connection requests you send and receive, the status of those requests (pending, accepted, declined), and the list of members you are connected with.

  • Messages: The content of messages you send and receive through the App's in-app messaging feature, including messages to other members and messages to FNO support staff.

2.4 Referral and Invitation Data

If you use our referral or invite feature to recommend someone to FNO, we collect the information you provide about that person (such as their name, email address, or phone number) for the sole purpose of facilitating the invitation. We will contact the referred individual only to extend the invitation and will not add them to any marketing lists. If the referred individual does not apply, we delete their information within 90 days of the referral.

2.5 Subscription and Payment Information

When you subscribe to a membership or register for an event, we collect payment information processed through our third-party payment processors (Stripe and/or Apple App Store / Google Play Store). We do not directly store full payment card numbers on our servers. We retain transaction records, subscription status, billing history, and payment method type for account management and compliance purposes.

2.6 Information Collected Automatically

  • Device and Usage Data: IP address, device type and model, operating system and version, unique device identifiers, App version, browser type (when using the Site), screen resolution, and performance data.

  • App Activity and Analytics Data: Features accessed, screens viewed, actions taken within the App, session duration, event browsing and selection history, and in-app interaction patterns. This data is collected through our analytics platform (PostHog).

  • Session Recording: We may use session replay technology (via PostHog) to record how users interact with the App, including screen views, taps, scrolls, and navigation paths. Session replays help us identify usability issues and improve the App experience. Session replays do not capture passwords or payment card fields. Where required by applicable law (including GDPR and certain U.S. state wiretapping and eavesdropping statutes), we will obtain your consent before enabling session recording. You may opt out of session recording at any time through the App's privacy settings.

  • Crash and Error Reporting: Diagnostic data including crash logs, error reports, and stack traces collected through our error-monitoring platform (Sentry) to identify and fix technical issues. This data may include device state at the time of the error but does not include message content or profile information.

  • Location Data: During the signup process, the App performs a one-time city-level location lookup to determine your approximate location. No GPS coordinates are stored, and no continuous location tracking occurs. Additionally, IP-based approximate location may be used by our analytics and advertising tools to provide aggregated geographic insights. We do not collect or store precise device-level geolocation data.

  • Cookies, Pixels, and Tracking Technologies: Information collected through cookies, pixel tags, SDKs, web beacons, and similar technologies on our Site and within our App. We use the Meta Pixel and Google Ads tags on both our Site and within the App to measure the effectiveness of our advertising campaigns, build audiences for targeted outreach, and serve relevant ads. These technologies may share your data with Meta and Google for cross-context behavioral advertising purposes. See Sections 11 and 12 for details on cookies and your opt-out rights.

2.7 Information from Third Parties

  • Social Media Platforms: If you interact with us through social media (e.g., Instagram, LinkedIn), we may receive profile information, engagement data, and other information you have made publicly available.

  • Event Partners and Venues: Information shared by restaurant partners or venue operators related to your attendance, dietary accommodations, or event logistics.

  • Marketing and Analytics Partners: Data provided by advertising platforms and analytics services to help us understand campaign performance and audience demographics.

  • App Store Platforms: Transaction confirmations and subscription status data from Apple or Google when purchases are made through their in-app purchase systems.

3. Application Review and Membership Decisions

Founders Night Out is a curated community. All applicants go through a review process before being granted access to events.

3.1 How Applications Are Reviewed

Application decisions are made by our team based on factors including professional background, alignment with the FNO community, referral endorsements, and available capacity in the applicant's city. We may use software tools to assist in organizing and scoring applications, but final approval or rejection decisions are always made by a human reviewer. No fully automated decision-making (as defined under GDPR Article 22) is used to accept or reject applicants. For GDPR purposes, the processing of your application data is based on pre-contractual necessity: you are requesting to enter into a membership arrangement, and reviewing your application is a necessary step in that process.

3.2 Rejected Applicant Data

If your application is not approved, we retain your application data for up to 12 months from the date of your application. This allows you to reapply without re-entering all of your information and allows us to reconsider your application if capacity becomes available in your city. After 12 months, your data is deleted unless you request earlier deletion. If you reapply, your prior application data may be referenced during the new review.

3.3 Waitlist Data

If you submitted information through our waitlist form (on the Site or via third-party form providers such as Tally), we retain that data to contact you when the App or events become available in your area. You may request removal from the waitlist and deletion of your data at any time by contacting us.

4. How We Use Your Personal Data

4.1 Application Processing and Membership Management

  • Reviewing and processing your application for membership.

  • Verifying that you meet the minimum age requirement.

  • Creating and managing your member account and profile within the App.

  • Managing your subscription status, billing, and renewal.

  • Maintaining records of your membership history, event attendance, preferences, and feedback.

  • Responding to your inquiries, requests, and support needs via in-app messaging or email.

4.2 Event Operations and Service Delivery

  • Processing event registrations and confirmations.

  • Coordinating with venue partners for seating, dietary requirements, and event logistics.

  • Matching attendees into groups based on professional background, interests, and personality data to optimize the dinner experience.

  • Sending event details, schedule changes, reminders, and post-event follow-ups via email and push notifications.

4.3 Social Features and Networking

  • Displaying your basic profile (first name, professional background, and city) to members who were seated at the same table or assigned to the same group as you at an event.

  • Facilitating connection requests between members and managing your connections list.

  • Enabling in-app messaging between connected members and between members and FNO support staff.

  • Displaying additional contact information (as chosen by you) to members you have accepted a connection with.

4.4 Referrals and Invitations

  • Processing referral invitations you send to prospective members.

  • Attributing successful referrals to your account for any referral rewards or recognition.

4.5 Marketing and Communications

  • Sending promotional messages about upcoming events, new cities, and community updates via email and push notifications (with your consent or where permitted by law).

  • Personalizing content and event recommendations based on your interests, location, and event history.

  • Running advertising campaigns on platforms such as Meta (Facebook/Instagram) and Google, including custom and lookalike audiences built using hashed identifiers derived from your data. See Section 12 for details on your opt-out rights regarding this activity.

  • Contacting waitlist subscribers when events or the App become available in their area.

4.6 Analytics, Diagnostics, and Improvement

  • Analyzing usage patterns, event feedback, and engagement data to improve our App, Site, and events (via PostHog).

  • Recording and reviewing session replays to identify usability issues, where you have consented or where permitted by law (via PostHog). See Section 2.6 for details.

  • Monitoring application stability, diagnosing crashes, and resolving technical issues (via Sentry).

  • Conducting internal research, reporting, and business intelligence.

4.7 Legal and Compliance

  • Complying with applicable laws, regulations, and legal processes.

  • Enforcing our Terms and Conditions, protecting our rights and property, and preventing fraud or abuse.

  • Responding to lawful requests from governmental authorities.

For individuals in the EEA, UK, or Switzerland, we process Personal Data under the following legal bases:

  • Contractual Necessity (including pre-contractual steps): Processing required to fulfill our agreement with you or to take steps at your request prior to entering into an agreement, including application review and scoring, membership management, event registration, payment processing, in-app messaging, and service delivery.

  • Consent: Processing based on your explicit consent, such as subscribing to marketing communications, participating in personality assessments, enabling session replay recording, sharing additional contact information with connected members, and providing photo consent for marketing use at events (see Section 7). You may withdraw consent at any time without affecting the lawfulness of prior processing.

  • Legitimate Interests: Processing necessary for our legitimate business interests, including improving our Services, fraud prevention, internal analytics (excluding session replay, which requires consent), crash diagnostics, and direct marketing to existing members, provided these interests are not overridden by your rights.

  • Legal Obligation: Processing required to comply with applicable laws and regulations, including age verification and data breach notification requirements.

6. How We Share Your Personal Data

We do not sell your Personal Data as the term "sale" is commonly understood (i.e., in exchange for monetary consideration). However, under the California Privacy Rights Act (CPRA), our use of advertising technologies such as the Meta Pixel and Google Ads tags on our Site and within the App may constitute "sharing" of Personal Data for cross-context behavioral advertising purposes. See Section 12 for details on how to opt out of this sharing.

6.1 Service Providers and Processors

We engage trusted third-party service providers who process Personal Data on our behalf. These providers are contractually obligated to protect your data and use it only for the purposes we specify. Current providers include, but are not limited to:

This list may be updated as our technology stack evolves. Material changes to our service providers will be reflected in updates to this Policy.

6.2 Advertising Partners (Cross-Context Behavioral Advertising)

We share certain data with Meta and Google through tracking pixels and SDKs embedded in our Site and App. This data may include device identifiers, IP addresses, browsing activity, in-app activity, and hashed email addresses. Meta and Google use this data to measure advertising effectiveness, build custom and lookalike audiences, and serve targeted advertisements to you on their platforms. Under CPRA, this activity constitutes "sharing" for cross-context behavioral advertising. Your right to opt out of this sharing is described in Section 12.

6.3 Event Partners and Venues

We share limited information (such as your first name, headcount, and dietary requirements) with restaurant partners and venue operators strictly for the purpose of fulfilling your event reservation. We do not share your full profile, email, or phone number with venues.

6.4 Other Members (Tiered Visibility)

Your data is shared with other members on a tiered basis that you control:

  • After attending the same event: Members who were seated at the same table or assigned to the same group as you will be able to see your basic profile information, including your first name, professional title, company, industry, and city. Only members at your specific table or group can see this information, not all attendees at the event.

  • After a mutual connection: If you send or accept a connection request with another member, both parties may see additional contact information that each user has chosen to add to their profile (such as email address, phone number, or social media links). You control what contact information appears on your profile, and you can update or remove it at any time.

  • In-app messages: Messages you send through the App's messaging feature are visible to the recipient. Messages to FNO support are visible to our support team.

Your contact details are never shared with other members without your affirmative action (accepting a connection request and choosing to display that information on your profile).

6.5 Referred Individuals

When you refer someone, we share your first name with the referred individual so they know who invited them. We do not share your contact information with the referred person unless you choose to do so directly.

6.6 Legal and Regulatory Disclosures

We may disclose Personal Data if required by law, regulation, legal process, or governmental request, or where we believe disclosure is necessary to protect the rights, property, or safety of FNO, our members, or the public.

6.7 Business Transfers

In the event of a merger, acquisition, reorganization, sale of assets, or bankruptcy, your Personal Data may be transferred as part of that transaction. We will notify you of any such change and any choices you may have regarding your data.

7. Photography and Videography at Events

Founders Night Out may photograph or record video at events for use in marketing materials, social media content, website and App content, and promotional purposes.

7.1 Notice and Opt-Out (United States)

For events in the United States, we will provide reasonable notice at each event where photography or videography occurs (e.g., signage at the venue or advance notification via the App or email). If you do not wish to be photographed or recorded, you may notify our event staff at any time and we will make reasonable efforts to accommodate your request.

7.2 Consent-Based Photography (International Events)

For events in jurisdictions where applicable law requires affirmative consent for the use of an individual's image in marketing materials (including the EEA and UK under GDPR), we will request your explicit consent prior to the event. This consent will be collected through the App during event registration. You may decline to provide consent without any impact on your ability to attend the event. If you provide consent, you may withdraw it at any time by contacting us.

7.3 Removal Requests and Paid Advertising

If you appear in any photo or video content and wish to have it removed after publication, please contact us at support@foundersnightout.com and we will remove or obscure your likeness within a reasonable timeframe. We will never use your photo or likeness in paid advertising (e.g., sponsored social media posts, digital ads) without your separate, explicit written consent, regardless of your location.

8. SMS, Email, and Push Notifications

We may send you communications through the following channels:

  • SMS/Text Messages: SMS is used primarily for account verification and security purposes (e.g., one-time login codes sent via Twilio). We may also send occasional transactional messages related to your membership or events. Message frequency is minimal and typically limited to a few messages per month. Message and data rates may apply. By providing your phone number and opting in, you consent to receive these messages from Founders Night Out (operated by JBX Holdings LLC). You can opt out at any time by replying STOP to any message or updating your preferences in the App. Reply HELP for assistance. For questions, contact support@foundersnightout.com.

  • Email: Event confirmations, membership updates, community news, and marketing communications. You can unsubscribe from marketing emails at any time by clicking the "unsubscribe" link in any email.

  • Push Notifications: Event reminders, new event alerts, connection requests, messages, promotional content, and membership updates delivered through the App via Expo push notification services. Push notifications are our primary channel for event communications and promotions. You can manage push notification preferences in your device settings or within the App.

Opting out of marketing communications will not affect transactional messages related to your membership, event registrations, account security, or account verification.

9. In-App Messaging

The App includes a messaging feature that allows members to communicate with other connected members and with FNO support staff.

  • Message Storage: Messages are stored on our servers for the duration of your active membership. If you close your account, your sent messages will be deleted from our systems within 30 days of account closure. Messages you sent to other members may remain visible in the recipient's message history until they also close their account.

  • Message Privacy: FNO staff do not monitor or read member-to-member messages except where required to investigate a reported violation of our Terms and Conditions, respond to a legal obligation, or address a safety concern.

  • Blocking and Reporting: You may block or report another member at any time through the App. Blocking a member will prevent them from sending you messages or viewing your profile. Reported messages may be reviewed by FNO staff to determine whether a violation of our community guidelines has occurred.

10. Data Retention

We retain your Personal Data only as long as necessary to fulfill the purposes described in this Policy, or as required by law.

After the applicable retention period, Personal Data is securely deleted or anonymized. We may retain anonymized, aggregated data indefinitely for analytics and business intelligence purposes.

11. Cookies and Tracking Technologies

We use cookies and similar technologies on our Site (and tracking SDKs within the App) to enhance your experience, analyze usage, and support our marketing efforts.

  • Strictly Necessary Cookies: Required for the operation of our Site and Services (e.g., session management, security). These cannot be disabled.

  • Analytics Cookies and SDKs: Help us understand how visitors interact with our Site and App by collecting information (e.g., Google Analytics, PostHog). In the App, equivalent tracking is performed via analytics SDKs rather than browser cookies.

  • Marketing Cookies, Pixels, and SDKs: Used to track activity across websites and within the App to measure advertising effectiveness and serve relevant advertisements (e.g., Meta Pixel, Google Ads tags). These technologies share data with Meta and Google for cross-context behavioral advertising purposes.

  • Preference Cookies: Remember your settings and choices (e.g., language, region).

You can manage cookie preferences for our Site through your browser settings. Within the App, you can manage analytics and tracking preferences through the App's privacy settings.

Where required by applicable law (including the GDPR and the ePrivacy Directive for users in the EEA and UK), we will obtain your affirmative opt-in consent before placing non-essential cookies or activating non-essential tracking technologies. You will be presented with a consent mechanism (such as a cookie consent banner on the Site or a consent prompt in the App) that allows you to accept or reject specific categories of cookies and tracking. Non-essential cookies and tracking technologies will not be activated until you provide your consent.

Analytics and marketing cookies are retained for up to 13 months from the date they are set. We honor Global Privacy Control (GPC) browser signals as a valid opt-out of sharing for cross-context behavioral advertising under CPRA.

12. Your Right to Opt Out of Sharing for Advertising

As described in Section 6.2, our use of the Meta Pixel, Google Ads tags, and related advertising technologies on our Site and in our App may constitute "sharing" of your Personal Data for cross-context behavioral advertising under the California Privacy Rights Act (CPRA). We do not sell your Personal Data for monetary consideration.

You have the right to opt out of this sharing. You can exercise this right in any of the following ways:

  • In the App: Navigate to your privacy settings within the App and disable advertising tracking.

  • On the Site: Use the cookie consent tool on our website to decline marketing cookies and pixels.

  • Global Privacy Control (GPC): We recognize and honor GPC signals sent by your browser as a valid opt-out of sharing under CPRA. If your browser sends a GPC signal, we will treat it as a request to opt out of cross-context behavioral advertising for that browser/device.

  • Device-Level Controls: On iOS, you can disable tracking via Settings > Privacy & Security > Tracking. On Android, you can reset or opt out of your advertising ID via Settings > Privacy > Ads.

  • Contact Us: Email support@foundersnightout.com with the subject line "Opt Out of Sharing" and we will process your request.

Opting out of advertising sharing will not affect your ability to use our Services. You may still see advertisements from FNO, but they will not be targeted based on your activity across other websites or apps.

13. Data Security

We implement reasonable administrative, technical, and physical safeguards to protect your Personal Data against unauthorized access, alteration, disclosure, or destruction. These measures include:

  • Encryption of data in transit (TLS/SSL) and at rest where applicable.

  • Access controls and authentication requirements for internal systems and the App.

  • Regular security assessments and monitoring of our infrastructure.

  • Contractual data protection obligations imposed on all third-party service providers.

  • Secure handling of payment data through PCI-compliant payment processors (Stripe, Apple, Google).

While we strive to protect your Personal Data, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security but are committed to promptly addressing any security incidents in accordance with applicable law.

14. Data Breach Notification

In the event of a data breach that compromises the security, confidentiality, or integrity of your Personal Data, we will:

  • Investigate the incident promptly and take immediate steps to contain and remediate the breach.

  • Notify affected individuals without unreasonable delay, and in any event within the timeframes required by applicable law. Most U.S. state breach notification statutes require notification within 30 to 60 days of discovery. We will comply with the most restrictive applicable deadline.

  • Where required by GDPR, notify the relevant supervisory authority within 72 hours of becoming aware of the breach, unless the breach is unlikely to result in a risk to individuals' rights and freedoms.

  • Provide affected individuals with a description of the breach, the types of data involved, the likely consequences, and the measures taken or proposed to address the breach and mitigate potential harm.

Breach notifications will be delivered via email to the address associated with your account, and where appropriate, via push notification through the App. Where email is not feasible or where required by law, we may provide notice through our Site or other appropriate channels.

15. Your Privacy Rights

15.1 Rights for All Users

Regardless of your location, you have the right to:

  • Access: Request a copy of the Personal Data we hold about you.

  • Correction: Request that we correct inaccurate or incomplete Personal Data.

  • Deletion: Request that we delete your Personal Data, subject to legal retention requirements.

  • Opt-Out of Marketing: Unsubscribe from marketing emails and push notifications at any time using the mechanisms described in Section 8.

  • Opt-Out of Advertising Sharing: Opt out of cross-context behavioral advertising as described in Section 12.

  • Withdraw Consent: Where processing is based on consent, withdraw your consent at any time. Withdrawal does not affect the lawfulness of processing prior to withdrawal.

  • Account Closure: Request closure of your member account at any time through the App (navigate to Profile > Settings > Delete Account) or by contacting us at support@foundersnightout.com. Account deletion requests will be processed within thirty (30) days. Account closure will trigger deletion of your profile, personality data, messages, and connection data, subject to the retention periods in Section 10.

15.2 Additional Rights Under CCPA/CPRA (California Residents)

If you are a California resident, you have additional rights under the California Consumer Privacy Act and California Privacy Rights Act, including:

  • Right to Know: You may request that we disclose the categories and specific pieces of Personal Data we have collected, the sources of that data, the business purposes for collection, and the categories of third parties with whom we share it.

  • Right to Delete: You may request deletion of Personal Data we have collected, subject to certain legal exceptions.

  • Right to Correct: You may request that we correct inaccurate Personal Data we maintain about you.

  • Right to Opt-Out of Sale/Sharing: We do not sell your Personal Data for monetary consideration. You may opt out of sharing for cross-context behavioral advertising as described in Section 12.

  • Right to Limit Use of Sensitive Personal Information: We use sensitive personal information only for the purposes disclosed in this Policy and as reasonably necessary to provide the Services.

  • Right to Non-Discrimination: We will not discriminate against you for exercising any of your privacy rights.

15.3 Additional Rights Under Other U.S. State Privacy Laws

15.5 How to Exercise Your Rights

To exercise any of the rights described above, please contact us at support@foundersnightout.com. We will respond to verified requests within 30 days (or within the timeframe required by applicable law, which may be up to 45 days under CCPA/CPRA with an optional 45-day extension for complex requests). We may need to verify your identity before processing your request. We will not charge a fee to process your request unless the request is manifestly unfounded or excessive.

16. International Data Transfers

Founders Night Out is based in the United States and currently operates events within the United States. Your Personal Data is primarily stored and processed in the United States.

As we expand internationally, your Personal Data may be transferred to and processed in countries other than your country of residence. These countries may have data protection laws that differ from those in your jurisdiction. Where we transfer Personal Data outside the EEA, UK, or Switzerland, we will ensure appropriate safeguards are in place, including Standard Contractual Clauses (SCCs) approved by the European Commission, adequacy decisions, or other legally recognized transfer mechanisms.

17. Children's Privacy

Our Services are intended for individuals who are 18 years of age or older. We collect date of birth (or birth year) during the application process to verify eligibility. Applications from individuals under 18 will not be processed, and any Personal Data submitted will be promptly deleted.

We do not knowingly collect Personal Data from children under 13, and our Services are not directed at children. In the event that we learn we have inadvertently collected Personal Data from a child under 13, we will delete that information in compliance with the Children's Online Privacy Protection Act (COPPA). Founders Night Out maintains a zero-tolerance policy for Child Sexual Abuse and Exploitation (CSAE) and the sharing of Child Sexual Abuse Material (CSAM). Any such content or behavior will result in immediate account termination and reporting to the appropriate authorities, including the National Center for Missing and Exploited Children (NCMEC).

Our Services may contain links to third-party websites, platforms, or services that are not operated by us, including restaurant partner websites, social media platforms, and payment processors. We are not responsible for the privacy practices of these third parties. We encourage you to review the privacy policies of any third-party services you access through our platform.

Our App is distributed through the Apple App Store and Google Play Store, each of which has its own privacy practices and terms. Please review their respective privacy policies for information about how they handle your data.

21. Governing Law

This Policy shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions, except where superseded by applicable international privacy regulations (including the GDPR for individuals in the EEA, UK, or Switzerland, and local privacy laws in jurisdictions where FNO operates events).
